NNPC’s NGML initiates process to acquire 5.2mmscfd CNG facility from AXXELA’s GNSL

NNPC Gas Marketing Limited (NGML), a subsidiary of the Nigerian National Petroleum Company Limited (NNPC), has initiated a process to acquire a 5.2 million standard cubic feet per day Compressed Natural Gas (CNG) Mother Station from Gas Network Services Limited (GNSL).

The 5.2 MMSCFD CNG Mother Station, which consists of compression and refueling facilities, began operations in 2013, delivering CNG to customers within a 250km radius of the Mother Station.

The Federal Competition and Consumer Protection Commission (FCCPC) made this known in a merger and acquisition notice issued under Case Type: MRR Form 1 (Regular), dated April 25, 2025, and obtained by Advisors Reports.

Advisors Reports gathered that GNSL is a subsidiary of Axxela Limited, and it operates a significant Compressed Natural Gas (CNG) facility located in Ilasamaja, Lagos.

The facility to be acquired by NNPCL also includes dispensing points for refueling natural gas vehicles (NGVs), catering primarily to clients outside the reach of traditional pipeline networks.

Advisors Reports further gathered that the FCCPC, in the document published on April 25, 2025, is expected to allow it fly for five business days of receipt, inviting public comments on the proposal.

It is expected that after the review, the proposed acquisition of the facilty will be approved with or without conditions or prohibited after 60 days.
